 ANNUAL REPORT AND ACCOUNTS 2010; NOTICE OF 2010 ANNUAL GENERAL MEETING; PROPOSED 
 CHANGES TO ARTICLES OF ASSOCIATION 
 
 
 In accordance with Listing Rule 9.6.1, Northern Investors Company PLC ("the 
 Company") has today submitted to the UK Listing Authority two copies of the 
 Annual Report and Accounts for the year ended 31 March 2010 ("the Annual 
 Report") and a Circular to shareholders including the Notice of the 2010 Annual 
 General Meeting to be held on 23 June 2010 ("the Circular"). 
 
 The Annual Report and the Circular will shortly be available for inspection at 
 the UK Listing Authority's Document Viewing Facility, which is situated at:

 Copies of the Annual Report and the Circular are also available on the NVM

 A resolution will be proposed at the 2010 Annual General Meeting to amend the 
 Articles of Association. A summary of the proposed changes is set out in the

 Transparency Rule 6.1.2 and is also available on the NVM Private Equity website
