Northern Investors Company

Northern Investors Company PLC (“The Company”) was launched in 1984 and was listed as an investment trust on the London Stock Exchange from 1990. In July 2011 shareholders approved a change in investment strategy, whereby the trust ceased making new unquoted investments and began an orderly realisation of the portfolio with a view to returning funds to shareholders through a series of tender offers over a period of several years. A total of £90.7million was returned to shareholders between 2011 and 2017.

On 11 December 2018, the Company was placed into members’ voluntary liquidation, and Patrick Brazzill and Richard Barker of Ernst & Young LLP, 1 More London Place, London SE1 2AF, were appointed as Joint Liquidators, following the passing of the special resolution at the General Meeting held on that day, in accordance with the details set out in the circular published by the Company on 16 November 2018.

Please note that in accordance with a Court Order dated 23 March 2022 (“the Order”), Patrick Brazzill was replaced as Joint Liquidator by Philip Heddell, an Insolvency Practitioner licenced by the Insolvency Practitioners Association.

Following application by the Company, the UK Listing Authority cancelled the listing of the Company’s Shares on the Official List and the London Stock Exchange cancelled the trading of the Company’s Shares on the London Stock Exchange’s main market for listed securities, in each case with effect from 12 December 2018.
